Definitions:
“ADVERTISER”= You/Your Company
“Completion”=November 15, 2008
“THN”= The Halloween Network is a collection of Halloween oriented web sites owned and operated by Safe Site Central, Inc.
“Commencement”= within 3 business days of receipt of payment and content/creative is received and accepted by Larry McKenzie of Safe Site Central Inc/ THN from ADVERTISER.
“non-exlusive”= Ads shall be rotated with multiple advertisers.
AGREEMENT:
In order to implement advertising and accept this AGREEMENT.
ADVERTISING AGREEMENT between THN and ADVERTISER:
It is agreed that THN shall provide:
ADVERTISER shall receive an unlimited, non-exclusive number of banner impressions throughout THN's network of Halloween oriented sites. This is based on the terms of the “Completion” of the campaign. The current list of sites are displayed at http://www.HalloweenAdvertising.com/sites.html. THN reserves the right to update this list at any time.
ADVERTISER shall receive priority text links and exposure in the appropriate categories and web sites when possible. Priority shall be over non-paying ADVERTISERs.
ADVERTISER’s banner shall be displayed on other Halloween oriented sites via THN’s banner exchange system.
ADVERTISER shall be mentioned in at least one of our newsletters that we currently send to thousands of Halloween enthusiasts. It is the responsibility of the ADVERTISER to provide content and contact Larry McKenzie for scheduling and placement.
Cost as follows:
Total Cost of Campaign=$589.00 USD . Must be pre-paid.

Banner Specifications: 468x60 pixels. Maximum 50k. Subject to approval.
Half-Banner Specifications: 234x60 pixels. Maximum 40k. Subject to approval.
Description Text of your site/product must be provided to THN in order for your campaign to be implemented.
It is further agreed that ADVERTISER will pay Safe Site Central,
Inc./ any and all collection costs incurred enforcing these Terms and Conditions including reasonable attorney's fees.
All advertisements are subject to approval by THN. All content must be appropriate for all ages to view. Payment in full must be received by Larry McKenzie prior to campaign.
Ads must be “family safe” and is subject to approval. Subject to our standard advertising agreement. This is a limited time offer and can be withdrawn at any time prior to advertising agreement. A limited number of advertisers will be accepted to help insure the success of our advertisers. ** We will be doing a lot of work on our network of sites throughout 2008 including the re-formatting of some existing sites.
Advertiser shall not breach the Terms of Service of any
sites owned/operated by Safe Site Central, Inc.
All advertisements are accepted and published upon the representation that the ADVERTISER and/or agency is authorized to publish the entire contents
and subject matter of such advertisement and that THN is harmless for any suits and costs arising from the publication of such advertisement,
including suits for libel, violation of privacy rights, plagiarism and
copyright infringement.
ADVERTISER/agency represents and warrants its ownership of and right to use
the information in the provided advertisement. In the event of an advertising publication error arising from the fault of THN, THN’s liability shall be limited to the amount paid by the ADVERTISER to Safe Site Central, Inc. for such advertisements. THN will not be responsible for lost profits, damage, or the material published online.
In the unlikely event that this network in whole or part is sold during the term of this agreement, the owner of the network will choose to honor the full term of the agreement or provide a full refund.
THN will not be liable for any delays in delivery and/or non-delivery due to acts of God, action by any governmental or quassi-governmental agency, terrorism or the affects of terrorism, fire, flood, earthquake, strike, network difficulties or other acts beyond the
control of THN.
A third-party script is used for tracking. These statistics shall be considered valid and final. Although this purchased script is believed to be reliable and accurate, we are not responsible for accuracy or availability of statistics.
THN / Safe Site Central, Inc reserves the right to refuse service to anyone for any reason.
This Agreement contains the entire AGREEMENT between the parties and there are no other promises, or conditions in any other AGREEMENT whether oral or written. This Agreement may be modified or amended, only by written instrument signed by both parties.
This contract is with the named firm (ADVERTISER) and change of ownership or management will not dissolve contract obligations as permitted by law.
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid or enforceable. This Agreement shall be governed by the Laws of the State of Nevada. Clark County.
EACH PARTY HAS READ THIS AGREEMENT, INCLUDING THE ATTACHED PRICING SCHEDULE AND AGREES TO BE BOUND BY ALL THE TERMS AND CONDITIONS HEREOF (INCLUDING SUCH ATTACHMENTS).
Payment constitutes acceptance of this agreement.
